Welcome to Audacious Money

These Terms of Service ("Terms") are a legal agreement between you and Audacious Money governing your use of our website at audacious.money, our application at app.audacious.money, and all related services (collectively, the "Services").

We've written these Terms in plain language because we believe legal documents should be readable. That said, these are still legally binding terms, so please read them carefully. If you don't agree with these Terms, please don't use our Services.

By using our Services, you agree to these Terms, our Privacy Policy, and any other policies we reference here.

1. What Audacious Money Does

Audacious Money provides bookkeeping, financial tracking, and business management tools designed to give you clarity and control over your finances. Our services include (but aren't limited to):

• Bookkeeping and accounting tools
• Expense tracking and categorization
• Invoicing and payment tracking
• Product costing tools
• Financial reports and insights
• Data export and backup capabilities

2. Your Account

2.1 Creating an Account

To use our Services, you need to create an account. When you do:

• You must be at least 18 years old
• You must provide accurate and complete information
• You must keep your account information up to date
• You are responsible for maintaining the security of your account and password
• You are responsible for all activity that occurs under your account

2.2 Account Security

You are responsible for keeping your account credentials secure. If you believe your account has been compromised, contact us immediately at [email protected].

We are not liable for any loss or damage arising from your failure to maintain account security.

2.3 One Account Per Person

Each account is for use by one individual. You may not share your account with others or allow multiple people to use the same account credentials.

3. Subscription and Payment

3.1 Pricing

We offer various products and services, each with its own pricing. Current pricing is displayed on our website and in the application at the time of subscription. From each product subscription, $5 goes to a cause you select from our curated list of environmental and social justice organizations.

Pricing may vary by product (e.g., bookkeeping suite, product costing tool, etc.), but each subscription includes the $5 charitable contribution as part of your monthly payment.

We may change our pricing with at least 30 days' notice. Price changes will not affect your current billing cycle and will only apply to subsequent renewals. If you don't agree with a price change, you can cancel your subscription before the new price takes effect.

3.2 Billing and Renewals

Subscriptions are billed monthly on a recurring basis. By subscribing, you authorize us to charge your payment method each month until you cancel.

• Your subscription automatically renews each month
• We'll charge your payment method on the same day each month
• If payment fails, we'll attempt to charge your card again. After multiple failed attempts, your account may be suspended
• It's your responsibility to keep your payment information current

3.3 Payment Processing

All payments are processed securely through Stripe. We do not store your full credit card information. By providing payment information, you agree to Stripe's terms and authorize us to charge your payment method.

3.4 Cancellation and Refunds

You can cancel your subscription at any time from your account settings or by contacting us. Here's how it works:

• When you cancel, you'll retain access until the end of your current billing period
• You will not be charged for subsequent months
• We do not provide refunds for partial months or unused time
• You can export your data before your subscription ends
• After cancellation, your encrypted data will be retained for 30 days to allow reactivation, then permanently deleted

Exception: If you cancel within 7 days of your initial subscription and have not extensively used the Services, we may provide a full refund at our discretion. Contact us to request this.

3.5 Taxes

All prices are exclusive of applicable taxes. You are responsible for any taxes, duties, or government charges that apply to your subscription.

4. Your Responsibilities

4.1 Acceptable Use

When using our Services, you agree not to:

• Violate any laws or regulations
• Infringe on anyone's intellectual property rights
• Transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use our Services to harass, abuse, or harm others
• Scrape, copy, or duplicate our Services or content
• Use automated systems (bots, scripts) to access our Services without permission
• Reverse engineer or attempt to extract our source code
• Use our Services for illegal money laundering or fraud

4.2 Your Data

You retain all ownership rights to the data you create and store using our Services. However, you are solely responsible for:

• The accuracy and legality of the data you enter
• Backing up your data regularly
• Maintaining your encryption key (we cannot recover it if lost)
• Ensuring your use of the Services complies with applicable accounting and tax laws
• Consulting with qualified professionals (accountants, tax advisors) as needed

We are not accountants or tax advisors. Our Services provide tools to help you manage your finances, but we do not provide professional accounting, tax, or financial advice.

5. Intellectual Property

5.1 Our Rights

We (and our licensors) own all rights to our Services, including all software, designs, text, graphics, logos, and other content. These are protected by copyright, trademark, and other intellectual property laws.

Your use of our Services does not grant you ownership of any intellectual property rights in our Services or content.

5.2 Your Rights

You retain all rights to the content and data you create using our Services. By using our Services, you grant us a limited license to store and process your encrypted data solely to provide the Services to you.

Because we use zero-knowledge encryption, we cannot access the content of your financial data. This license only applies to the technical operation of storing and transmitting your encrypted data.

5.3 Feedback

If you provide us with feedback, suggestions, or ideas about our Services, we may use them without any obligation to compensate you. You grant us a perpetual, worldwide, royalty-free license to use any feedback you provide.

6. Service Availability and Changes

6.1 Service Availability

We strive to keep our Services available 24/7, but we can't guarantee uninterrupted access. Our Services may be unavailable due to:

• Scheduled maintenance (we'll try to give advance notice)
• Emergency maintenance or security updates
• Technical issues beyond our control
• Force majeure events (natural disasters, pandemics, etc.)

6.2 Changes to Services

We may modify, update, or discontinue features of our Services at any time. We'll do our best to notify you of significant changes, but we're not obligated to maintain any particular feature indefinitely.

If we discontinue the Services entirely, we'll provide at least 30 days' notice and give you the opportunity to export your data.

7. Disclaimers and Limitations

7.1 No Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Services will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or completeness of content

We do not guarantee that our Services will meet your specific needs or that they will be compatible with all hardware, software, or devices.

7.2 Not Professional Advice

Important: Audacious Money is a software tool, not a professional service firm. We do not provide:

• Accounting advice or services
• Tax preparation or advice
• Legal advice
• Financial planning or investment advice

You should consult qualified professionals for accounting, tax, legal, and financial advice. We are not responsible for any decisions you make based on information from our Services.

7.3 Limitation of Liability

To the maximum extent permitted by law, Audacious Money and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use the Services
• Any unauthorized access to or use of our servers or your data
• Any interruption or cessation of the Services
• Any bugs, viruses, or similar harmful components
• Any errors or omissions in content or for any loss or damage incurred from use of content
• Loss of your encryption key or inability to access your data

Our total liability to you for all claims arising from or relating to these Terms or the Services shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

7.4 Zero-Knowledge Architecture

Because we use zero-knowledge encryption, we cannot recover your data if you lose your encryption key. We are not liable for any data loss resulting from:

• Loss or theft of your encryption key
• Forgotten passwords or credentials
• Your failure to back up your data
• Account termination or deletion

8. Termination

8.1 Your Right to Terminate

You can stop using our Services and delete your account at any time. See Section 3.4 for information about cancellations and refunds.

8.2 Our Right to Terminate

We may suspend or terminate your access to our Services at any time if:

• You violate these Terms
• Your payment fails and you don't update your payment information
• We're required to do so by law
• Your use of the Services poses a security risk or could harm us or other users
• We discontinue the Services entirely

We'll try to give you reasonable notice before terminating your account, except in cases involving security risks, illegal activity, or violations of these Terms.

8.3 Effect of Termination

When your account is terminated:

• Your access to the Services will immediately cease
• We'll stop charging you for future billing periods
• Your data will be retained for 30 days to allow reactivation, then permanently deleted
• You should export your data before termination if you want to keep it
• Sections of these Terms that by their nature should survive termination will survive (like intellectual property, disclaimers, and governing law)

9. Dispute Resolution and Governing Law

9.1 Governing Law

These Terms are governed by the laws of the State of Oregon, United States, without regard to its conflict of law provisions. Any disputes will be resolved in the state or federal courts located in Washington County, Oregon, and you consent to the exclusive jurisdiction of those courts.

9.2 Informal Resolution

Before filing any legal claim, please contact us at [email protected] to try to resolve the issue informally. We believe most concerns can be resolved through good-faith discussion.

9.3 Time Limit for Claims

Any claim or cause of action arising from or related to your use of the Services or these Terms must be filed within one year after the claim arose, or it will be permanently barred.

10. General Provisions

10.1 Changes to These Terms

We may update these Terms from time to time. When we do, we'll update the "Last Updated" date at the top and notify you by email or through a notice on our Services.

If you continue using the Services after the changes take effect, you accept the new Terms. If you don't agree with the changes, you should stop using the Services and cancel your account.

10.2 Assignment

You may not transfer or assign your rights under these Terms without our written consent. We may assign our rights and obligations under these Terms without restriction.

10.3 Severability

If any provision of these Terms is found to be unenforceable, that provision will be removed or modified to the minimum extent necessary, and the remaining provisions will remain in full effect.

10.4 No Waiver

Our failure to enforce any provision of these Terms doesn't waive our right to enforce it later. Any waiver must be in writing and signed by us.

10.5 Entire Agreement

These Terms, along with our Privacy Policy and any other policies referenced here, constitute the entire agreement between you and Audacious Money regarding the Services.

10.6 Third-Party Services

Our Services may contain links to third-party websites or services. We're not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk.
